Terms and Conditions

You Agree to Adhere to The Following Terms by Engaging Maryland Estimating’s Services. These Terms Govern All Transactions Unless Superseded by A Signed Written Agreement.

General Conditions

These terms override any prior agreements unless explicitly modified in writing.

Definitions

  • Buyer: The client utilizing Maryland Estimating’s services.
  • Seller: Maryland Estimating.
  • Work: Services provided, including estimating, consulting, or other tasks.
  • Preliminary Work: Initial tasks or third-party services required for the project.
  • Electronic Files: Any exchanged digital files.
  • Intellectual Property: Creations and ownership rights arising from the Work.

Orders & Delivery

  • Accepted orders confirm the Buyer’s agreement to these terms.
  • Deliveries are primarily electronic; Buyers bear responsibility for their distribution and storage.
  • Delivery delays, regardless of cause, do not absolve payment obligations.
  • Partial deliveries may occur, with segments billed separately. Future deliveries depend on timely payments.

Ownership & Title Retention

  • Work ownership remains with the Seller until full payment is received.
  • If Buyers fail to pay, the Seller may reclaim delivered Work.

Credit Terms

  • Credit purchases must be settled within 30 days of the invoice date. Interest is charged on late payments.
  • The Seller can revoke credit terms at any time.

Work Acceptance

Buyers have 4 hours from delivery to report issues. After this timeframe, Work is deemed accepted.

Liability Restrictions

  • The Seller is not liable for indirect losses, including lost profits.
  • Financial liability is limited to the amount paid for the disputed service.

Cancellation Policies

Orders can be canceled only before Work begins. Costs incurred before cancellation are payable, along with potential additional fees.

Payment & Fees

  • Pricing may adjust if Work scope changes. Buyers are responsible for applicable taxes.
  • Fees for Preliminary Work remain chargeable even if the project is canceled.
  • Payments must be made upfront unless otherwise agreed. Additional costs may apply for Buyer-caused errors or delays.

Prohibited Activities

  • The Seller reserves the right to refuse projects with unlawful content.
  • Buyers indemnify the Seller against legal claims arising from project content.

Force Majeure

The Seller is not responsible for delays caused by uncontrollable factors (e.g., strikes, natural disasters).

Third-Party Exclusion

These terms apply solely to Seller-Buyer interactions, excluding third-party rights.

Jurisdiction and Governing Law

Disputes are resolved under U.S. law within U.S. courts.

Estimating Services Specifics

  • Buyers must provide clear instructions and prompt responses to avoid delays.
  • Intellectual Property transfers to the Buyer upon completion, though the Seller can use Work for promotional purposes.

Data Privacy and Protection

  • Buyers must ensure they have rights to any submitted personal data.
  • Personal data is deleted post-completion, adhering to relevant laws.
